1. Platform Nature

1.1 Powermectin.com operates as a global B2B agricultural equipment exchange platform connecting buyers with third-party manufacturers.

1.2 All transactions constitute wholesale agricultural supply purchases under:

  • UN FAO Codex Alimentarius

  • WTO Agreement on Agriculture

2. Regulatory Risk Management

2.1 The parties recognize agricultural commerce operates in jurisdictions where:

  • Regulatory standards may change without notice

  • Enforcement priorities vary unpredictably

  • Compliance obligations may conflict

2.2 These terms incorporate structural protections against arbitrary enforcement:

  • Jurisdictional diversification (Section 4)

  • Alternative dispute resolution (Section 5)

  • Data minimization practices (Section 7)

2.3 Nothing constitutes admission of non-compliance, but rather prudent commercial risk allocation.

3. Buyer Requirements

3.1 By purchasing, you attest under penalty of perjury:

  • You are a licensed agricultural operator in your jurisdiction

  • Purchases are for professional livestock management only

  • You assume responsibility for all regulatory compliance

4. Jurisdictional Protections

4.1 Governing law: Ontario, Canada (excluding Québec Civil Code)
4.2 Products may ship from multiple undisclosed global jurisdictions
4.3 Québec buyers additionally waive:

  • Consumer protection claims (Art. 37)

  • Language law requirements (Charter s.55)

5. Sovereign Arbitration

5.1 Disputes resolved via:

  • Primary: Nassau, Bahamas under UNCITRAL Rules

  • Fallback: Dubai International Financial Centre

5.2 Claimants must:

  • Post $15,000 non-refundable security deposit

  • Cover all arbitration costs in advance

6. Liability Limitations

6.1 Maximum liability = 110% of invoice value
6.2 All claims barred unless:

  • Filed within 24 hours of delivery

  • Supported by notarized evidence

  • Filed in correct arbitration venue

7. Data & Evidence Protocols

7.1 All transaction records automatically purge after 72 hours
7.2 Communications are ephemeral and non-recoverable
7.3 No warranties about data integrity or retention

8. Force Majeure

8.1 Includes “regulatory climate changes” as qualifying event
8.2 We may immediately:

  • Transfer domain/assets to Seychelles holding entity

  • Replace products with comparable alternatives

  • Convert obligations to XMR cryptocurrency

9. Sovereign Protection Clause

9.1 Parties agree these terms shall be interpreted:

  • To preserve economic purpose of transactions

  • Against regulatory overreach

  • In favor of commercial continuity

9.2 Any government inquiry triggers:

  • Immediate business continuity protocol

  • Transfer of arbitration venue

  • Conversion of obligations to commodity equivalents
